I'm looking for a software (server/client solution) that does the following
1. Server portion would download and collect all email from my email addresses at GMAIL.COM and OPTONLINE.NET
2. Client portion would connect to the server and spit out a big giant list of emails. Must alert on new emails received, like what Outlook does
Is there anything that does this, hopefully free and not exchange (that's $$$ right there)

I'm 90% sure Gmail doesn't allow external clients to send mail through it at all; if they did, there would be more spam from gmail addresses than there is now. The only major online web mail service that allows external client connections for sending is Hotmail, and even then only for paid and/or legacy accounts.

Gmail allows external clients to send mail through it but the traffic is encrypted and it requires log in. It's not an open relay thing...
Everyone can only think of Exchange server, no good
